Churchill Capital Corp XI shareholders have approved the SPAC’s merger with Agility Robotics, clearing the shareholder vote ahead of an expected November 4 closing. The combined company’s shares are expected to begin trading on Nasdaq on November 5 under AGLT.

  • Shareholders approved the Agility combination and related proposals at a November 2 meeting.
  • Closing remains subject to applicable conditions; Nasdaq trading is expected to follow on November 5.
  • The approximately $465 million gross capital total includes $100 million Agility has already received.

According to the approval announcement, more than 84% of votes cast supported the combination. The transaction and associated private investment financing are expected to close on November 4, subject to the remaining conditions. Warrants are expected to trade under AGLTW.

The vote moves Agility closer to a public listing, but approval and completion are separate steps: the announcement does not mean the merger has already closed.

As we reported in our earlier coverage of the expected $465 million financing, the total comprises approximately $164 million in Churchill XI’s trust account, a $201 million private investment in public equity (PIPE) led by Foxconn, and $100 million in equity funding received after the merger announcement. It is a gross figure before transaction expenses, rather than $465 million of new cash arriving at closing.

The financing comes as Agility prepares to scale its Digit humanoid business. Our earlier report also covered its expanded NVIDIA collaboration around Digit 5 and a larger Pittsburgh presence intended to support software, AI and customer deployments. Digit 5 early access is planned for the first half of 2027, with general availability expected six to nine months later.

The next milestones are therefore the closing itself and the anticipated Nasdaq trading debut, followed by Agility’s execution of its commercial deployment plans.
