Agility Robotics has named logistics executive Mark Vale as its expected audit committee chair as it prepares for a public listing through its proposed merger with Churchill Capital Corp XI. His board appointment would take effect after the transaction closes.

  • Transportation Insight CEO Mark Vale is expected to join Agility’s board and chair its audit committee following the merger.
  • Bruce Leak and Matt Ocko have stepped down from Agility’s board.
  • Churchill XI shareholders are scheduled to vote on the proposed combination on November 2.

In its October 19 announcement, Agility highlighted Vale’s more than three decades of experience in logistics and finance. Before leading Transportation Insight, he spent over 30 years at UPS, including roles as corporate controller and chief financial officer for international operations.

Vale would oversee financial reporting, internal controls and the relationship with Agility’s independent auditor. His operational background also connects with the warehouse and logistics environments targeted by Digit.

The release confirms Bruce Leak and Matt Ocko’s departures as part of the board transition, without giving further reasons. Vale is expected to serve alongside previously announced directors Merline Saintil, Derek Aberle and Pierre Gentin, CEO Peggy Johnson and co-founder Damion Shelton.

The appointment follows the SEC registration milestone we covered earlier. The registration statement became effective on October 13, with a November 2 shareholder vote scheduled. The combined company is expected to trade on Nasdaq as AGLT after closing, which remains subject to shareholder approval and other conditions.
